1. Acceptance of Terms

These Terms of Service govern your access to and use of GIVILA's website, SaaS application, CRM platform, integrations, connected services, and related features.

By accessing or using GIVILA, creating an account, accepting an order or subscription, or using the service on behalf of an organization, you agree to these Terms.

02

2. Eligibility and Business Use

GIVILA is intended for lawful business and professional use. You represent that you are legally capable of entering into a binding agreement and, when using GIVILA for an organization, that you have authority to act on its behalf.

You may not use GIVILA if applicable law prohibits you from receiving or using the service.

03

3. Accounts and Registration

You must provide accurate, current, and complete information when creating or maintaining a GIVILA account.

You are responsible for safeguarding account credentials and for activity conducted through your account. You must notify GIVILA promptly if you believe your account or credentials have been compromised or used without authorization.

You may not share credentials in a manner that circumvents applicable user limits, permissions, or subscription terms.

04

4. Workspaces, Users, and Permissions

GIVILA accounts may belong to customer workspaces containing multiple authorized users.

Workspace owners and administrators are responsible for managing users, roles, permissions, connected accounts, CRM access, and access to Customer Data.

Actions performed by authorized workspace users may be treated as actions of the applicable customer workspace.

Customers are responsible for promptly removing or restricting access when a user should no longer have permission to access the workspace.

05

5. Subscriptions, Billing, Renewals, and Cancellation

Certain GIVILA features may require a paid subscription. Pricing, billing frequency, included features, usage allowances, and applicable fees will be disclosed through the applicable pricing page, checkout flow, order, or subscription screen.

Unless otherwise stated, recurring subscriptions may renew automatically until canceled.

Customers are responsible for maintaining valid billing information and for applicable taxes, fees, and charges associated with their selected plan.

Cancellation stops future renewal but does not automatically entitle a customer to a refund for amounts already paid unless required by law or expressly stated otherwise.

06

6. Customer Data and CRM Content

Customers retain ownership of business information, CRM records, files, communications, contacts, notes, pipeline information, opportunity information, tasks, activities, field data, and other content they submit, import, connect, or process through GIVILA.

Customers grant GIVILA a limited right to host, process, transmit, display, and use Customer Data only as reasonably necessary to provide, operate, support, maintain, secure, and improve the requested GIVILA service.

Customers are responsible for the accuracy, legality, appropriateness, and authorization of Customer Data and for obtaining any permissions, rights, or lawful bases required to process that data.

07

7. Connected Accounts and Third-Party Integrations

GIVILA may allow customers to connect third-party accounts, APIs, applications, or services.

By enabling an integration, you authorize GIVILA to access, transmit, and process information from that service to the extent necessary to provide the connected feature and according to the permissions you grant.

You are responsible for maintaining authority to connect third-party accounts and for complying with the applicable third party's terms and policies.

08

8. Google Workspace, Gmail, and Google Calendar Authorization

GIVILA may allow users to connect Gmail and Google Calendar.

When you authorize Google access, you permit GIVILA to use the permissions presented during Google's authorization flow to provide connected functionality.

Depending on the feature and authorization granted, this may include reading and displaying relevant email information, associating messages and replies with CRM records, sending email at your direction, performing authorized mailbox actions, displaying calendar information, and creating or managing calendar events at your direction.

You may disconnect Google from GIVILA or revoke GIVILA's access through your Google Account.

Your use of Google-connected functionality is also subject to applicable Google terms and policies.

09

9. AI Features and Limitations

GIVILA may provide AI-assisted functionality including capture, summarization, drafting, classification, research assistance, relationship insights, extraction, and workflow support.

AI-generated content, recommendations, summaries, drafts, classifications, or other outputs may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular use.

You are responsible for reviewing AI-generated output before relying on it, transmitting it to third parties, or using it for business, legal, financial, employment, compliance, or other material decisions.

GIVILA does not guarantee the accuracy, completeness, originality, or fitness of AI-generated output.

10

You may not use GIVILA to:

  • violate applicable law or regulation;
  • infringe intellectual property, privacy, publicity, contractual, or other rights;
  • distribute malware, malicious code, phishing material, or harmful content;
  • attempt unauthorized access to accounts, systems, networks, or data;
  • interfere with, disrupt, overload, or damage the service;
  • circumvent access, security, usage, billing, or subscription controls;
  • misrepresent identity, authority, affiliation, or the source of communications;
  • use the service to facilitate fraud, deception, abuse, unlawful discrimination, or other unlawful activity; or
  • use GIVILA in a manner that materially harms GIVILA, other customers, users, or third parties.
11

11. Email, Outbound Communications, Consent, and Anti-Spam Compliance

GIVILA may provide tools for sending email, managing outreach, conducting follow-up, and communicating with prospects, customers, vendors, or other business contacts.

Customers are solely responsible for determining whether recipients may lawfully be contacted and for ensuring that communications comply with applicable laws, regulations, consent requirements, identification requirements, opt-out obligations, and anti-spam rules.

Customers must not use GIVILA to send unlawful spam, deceptive messages, fraudulent communications, or messages where the sender lacks an appropriate legal basis or permission.

Customer Responsibility

GIVILA provides communication tools. The customer remains responsible for the legality, targeting, consent basis, content, recipients, and compliance of outbound communications.

GIVILA does not provide legal advice regarding marketing, outreach, telemarketing, consent, privacy, or anti-spam compliance.

12

12. Intellectual Property and GIVILA Ownership

GIVILA and its licensors retain all rights, title, and interest in the GIVILA platform, software, interfaces, designs, technology, workflows, documentation, branding, trademarks, and related intellectual property, excluding Customer Data.

Except for the limited right to use the service under these Terms, no ownership or intellectual-property rights are transferred to customers.

You may not copy, reproduce, sell, license, distribute, reverse engineer, or create derivative works from GIVILA except where expressly authorized by GIVILA or required by applicable law.

14

14. Third-Party Services

GIVILA may depend on third-party providers for application hosting, authentication, databases, storage, communications, payments, analytics, mapping, AI functionality, email delivery, calendar access, and integrations.

GIVILA is not responsible for third-party services outside its control and does not guarantee their continued availability, pricing, functionality, policies, performance, or compatibility.

Changes or interruptions in third-party services may affect certain GIVILA features.

15

15. Service Availability and Modifications

GIVILA may add, remove, modify, suspend, or discontinue features or portions of the service from time to time.

We may perform maintenance, updates, migrations, security changes, or operational modifications that temporarily affect availability.

GIVILA does not guarantee uninterrupted, error-free, or continuously available operation.

16

16. Disclaimers

To the maximum extent permitted by applicable law, GIVILA is provided on an "as is" and "as available" basis.

GIVILA disclaims warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

GIVILA does not guarantee that the service, integrations, AI outputs, forecasts, data, reports, insights, recommendations, or communications will be error-free, complete, accurate, or suitable for every business purpose.

17

17. Limitation of Liability

To the maximum extent permitted by applicable law, GIVILA and its owners, affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages for lost profits, lost revenue, lost opportunities, loss of goodwill, business interruption, loss or corruption of data, or similar losses arising from or relating to use of the service.

To the maximum extent permitted by law, GIVILA's aggregate liability arising from or relating to the service will not exceed the amounts paid by the customer to GIVILA for the service during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

18

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GIVILA and its owners, affiliates, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and reasonable costs arising from:

  • your Customer Data;
  • your use of GIVILA;
  • your violation of these Terms;
  • your violation of applicable law;
  • your outbound communications or outreach;
  • your infringement or violation of third-party rights; or
  • actions of users authorized through your workspace.
19

19. Suspension and Termination

GIVILA may suspend or terminate access where reasonably necessary because of nonpayment, security risk, suspected fraud, unlawful activity, misuse, material violation of these Terms, risk to other users or systems, or legal requirements.

Customers may stop using GIVILA and cancel subscriptions according to the applicable billing and plan terms.

Provisions that by their nature should survive termination will continue to apply, including ownership, disclaimers, limitations of liability, indemnification, payment obligations, and dispute provisions.

20

20. Changes to These Terms

GIVILA may revise these Terms from time to time to reflect changes in the service, pricing, integrations, business practices, or legal requirements.

When changes are made, we will update the "Last updated" date at the top of this page.

Material changes may be communicated through the service, website, email, or another reasonable method.

Continued use of GIVILA after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
